Controlling and minority stakes in UAE businesses: compare the decision rights

Evaluate a stake by the rights and economics attached to it, alongside the ownership percentage and purchase price.

The practical answer

Investor output: a rights summary and a cash model for the exact stake offered.

Connect percentage ownership with actual decisions

Identify how budgets, distributions, senior appointments and major transactions are decided. Ask which matters require agreement between shareholders. The percentage alone cannot explain how the investor will participate in the company’s operation or access information.

Model the cash attributable to the stake

Use cash available to the acquired interest and the distribution arrangements, rather than automatically taking the same percentage of headline company profit. Include future funding commitments in the capital plan. Clearly distinguish an illustrative distribution assumption from an agreed contractual right.

Review the relationship as well as the entry

Discuss reporting, business objectives, further investment and potential exit routes before committing. Appropriate legal review should connect the commercial understanding with the documents. A shared view of how the business will be run supports a more productive shareholder relationship.
