The practical answer
Buyer output: a verified structural checklist alongside the commercial acquisition case.
Identify the target’s jurisdiction and activity
Request the current company and licence information and the exact shares or assets offered. Dubai’s official business guidance distinguishes mainland and free-zone structures and advises checking foreign-ownership eligibility and any additional approvals. Use the target’s facts rather than assuming every opportunity follows the same route.
Build the right verification list
Ask the relevant licensing authority and qualified advisers which requirements apply to the buyer, activity and proposed structure. Record the documents, responsible parties and confirmations needed. Keep ownership, operating permissions and personal residency questions separate so that one answer is not assumed to resolve all three.
Align the process with the capital plan
Include the actual quoted transaction costs and timing assumptions in the acquisition model. Review the business’s operating and financial evidence alongside structural questions. Eligibility to pursue a transaction and the commercial attractiveness of the business are complementary parts of the buyer’s decision.
Your working checklist
- Identify entity and jurisdiction
- Read the licensed activities
- Confirm buyer-specific requirements
- Separate residency questions
- Use transaction-specific cost quotes
Use the guide with a live opportunity
For a buyer, record the listing reference and the questions that could change your decision. For an owner, use the checklist to prepare a consistent response and identify which information is suitable for public presentation. Share identifying or sensitive material only through an agreed confidential process.
