UAE M&A / SELLER PREPARATION

Which financial figures should a UAE business listing include?

A useful listing identifies the price, period, sale structure and meaning of the financial figures supplied.

The practical answer

Seller output: a complete financial field set with definitions that match the underlying records.

Make the headline figures comparable

State asking price and the exact interest offered together. Provide revenue and cash flow for a defined period, with the basis used to prepare them. If the financial period is unusual, explain it so buyers do not assume that every number represents a complete year.

Explain the path to buyer cash

Describe whether the supplied cash amount accounts for management pay, tax, recurring costs and equipment renewal. Identify entry costs and additional working capital where available. These definitions allow buyers to understand an indicative yield without confusing revenue, profit and distributable cash.

Keep uncertainty visible and answerable

If an input is unavailable, leave the resulting metric pending and prepare the evidence needed to complete it. Do not substitute an optimistic estimate merely to display a return. A clear field explanation makes later diligence easier for both the owner and buyer.

Your working checklist

  1. State asking price and interest
  2. Use a defined financial period
  3. Explain the cash basis
  4. Separate additional capital
  5. Identify missing inputs

Use the guide with a live opportunity

For a buyer, record the listing reference and the questions that could change your decision. For an owner, use the checklist to prepare a consistent response and identify which information is suitable for public presentation.
